Coach Terms of Sale

These Coach Terms of Sale govern the subscription to the Zepraug Coach service, published by ZEPRAUG & CO, a SASU with €1,000 share capital, registered in the Paris Trade and Companies Register under number 103 751 970, with its registered office at 173 rue de Courcelles, 75017 Paris (EU VAT number: FR91103751970).

Zepraug Coach is a client-tracking platform made available to professional fitness coaches: client management, access to their training data, programs and messaging. The coach's clients use the Zepraug app with Premium access included in the coach's subscription.

Zepraug provides a software tool. Zepraug is not a party to the contract between the coach and their clients: the content, price and terms of the coaching service are the coach's sole responsibility.

The Zepraug Coach subscription is reserved for professionals who meet all of the following conditions:

• ▸hold a diploma, title or certification allowing the supervision of physical and sports activities for remuneration (BPJEPS, DEJEPS, STAPS degree or equivalent);
• ▸hold a valid professional sports educator card (carte professionnelle), in accordance with article L212-1 of the French Sports Code;
• ▸have an active SIRET number matching an ongoing business activity;
• ▸hold valid professional liability insurance (assurance RC professionnelle), which is mandatory;
• ▸provide accurate, complete and up-to-date information and supporting documents, at application time and throughout the subscription.

Every application is reviewed manually. Zepraug may request additional supporting documents and may refuse any application that does not meet these conditions.

Zepraug Coach offers monthly plans tiered by active clients: Starter (up to 5 clients), Pro (up to 20 clients) and Studio (up to 50 clients). An active client is a client linked to the coach's account with ongoing access.

The applicable prices are those displayed on the subscription page at the time of purchase. Payment is made by card through Stripe.

• ▸30-day trial, no credit card required.
• ▸Monthly subscription, no commitment.
• ▸One-click cancellation from the coach workspace: it takes effect at the end of the current monthly period, which remains due.
• ▸The number of active clients is capped by the chosen plan. To go beyond, the coach upgrades to the next plan.

The coach undertakes to:

• ▸keep their professional card and liability insurance valid throughout the subscription, and immediately notify Zepraug of any expiry, suspension or withdrawal;
• ▸deliver quality advice, adapted to each client's level and physical condition, in accordance with the safety rules of the profession;
• ▸never provide medical advice, diagnosis or prescription, and refer the client to a health professional in case of doubt;
• ▸behave respectfully towards clients, with no inappropriate, discriminatory or unlawful remarks or conduct;
• ▸keep their clients' data confidential and use it solely for the sports coaching carried out through the platform.

For their clients' data accessed through the platform (training, measurements, nutrition), the coach acts as data controller within the meaning of the GDPR: the coach decides how this data is used in their coaching service. Zepraug acts as a processor (article 28 GDPR): hosting, securing and making the data available under the coach's instructions.

The coach's access to a client's data relies on that client's explicit consent. This consent is valid for 90 days and must be renewed. The client can revoke access at any time from the app; revocation cuts access immediately.

The coach shall not export, resell or reuse their clients' data outside the purpose of sports coaching. At the end of the relationship, the coach deletes the data in their possession if the client requests it.

Zepraug provides the tool and does not supervise the coaching service. Programs, advice and exchanges delivered through the platform are the coach's sole responsibility.

Zepraug strives to keep the service available but does not guarantee uninterrupted or error-free operation. Zepraug's liability, all damages combined, is capped at the amounts paid by the coach over the last 12 months.

The coach holds Zepraug harmless against any client claim based on their coaching service.

Zepraug may suspend or terminate a coach account, after email notice (except in emergencies justified by client safety), in the following cases:

• ▸forged supporting documents or inaccurate information;
• ▸breach of these Coach Terms, in particular the obligations of section 4;
• ▸client reports (inappropriate behaviour, endangerment, breach of confidentiality);
• ▸unresolved payment default.

Suspension cuts the coach's access to the platform as well as the Premium access their clients held through the coach's subscription. Amounts already invoiced remain due.

These Coach Terms are governed by French law.

This is a business-to-business agreement: the consumer mediation scheme (article L612-1 of the French Consumer Code) does not apply.

In the event of a dispute, the parties shall first seek an amicable solution (contact@zepraug.com). Failing agreement within 30 days, exclusive jurisdiction is granted to the competent courts of Paris, notwithstanding multiple defendants or third-party claims.
